1. Introduction
SPACE AND PLACE - FZCO (the "Platform," "we," "us," or "our"), a UAE-based platform. We offer our registered users as well as guest users (the "Users") AI-powered services, including real estate analysis, semantic property search, and market intelligence insights (the "Services").
The Platform is open to Users worldwide but reserves the right to limit access from certain states or territories at any moment without notice.
By accessing or using the Platform, you agree to these Terms, our Policies (incorporated herein), and applicable guidelines.
We may update these Terms; material changes will be notified via email or on the Platform at least 14 days in advance. Users should review these Terms on a regular basis. Continued use constitutes acceptance.
If you are using the Platform on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you and that organization.
If you do not agree with any of these Terms, in particular those listed in this section, cease access and/or use of the Platform immediately.
2. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority in your jurisdiction (if higher), to use the Platform. During registration, provide accurate information and keep credentials confidential.
You are responsible for all activities under your account. Immediately notify us of unauthorized use at hello@spacenplace.ai.
We are not liable for losses resulting from unauthorized account use where you failed to comply with the above obligations.
Full functionality of the Platform may be available after creating an account only.
We reserve the right to suspend or terminate accounts at our discretion.
3. Services
The Platform:
- Aggregates and displays real estate listings using automated scraping and data processing technologies.
- Uses artificial intelligence to interpret user prompts and return relevant property results.
- Allows users to upload documents, images, blueprints, and other materials for AI-based analysis.
The Platform provides Users with access to AI-powered tools and services, including:
- Property Listing Analysis — Aggregation and analysis of real estate listings from various third-party sources, including identification of key features, pricing data, and property characteristics.
- Semantic Property Search — Advanced search functionality that interprets natural language queries and returns relevant property results based on user intent.
- AI-Generated Insights — Automated insights, comparisons, and summaries relating to properties, market trends, and potential opportunities.
- Interactive AI Assistance — Chat-based tools that respond to user queries, provide explanations, and assist in navigating and understanding real estate data.
- Document & Blueprint Analysis — Processing and analysis of user-uploaded materials (such as floor plans, images, and documents), including identification of missing elements or similarities to other properties.
- Report Generation — Creation of structured reports, summaries, or evaluations based on listings, user inputs, and uploaded materials.
- Market Intelligence — Provision of aggregated and processed data-driven insights relating to real estate markets within the UAE, GCC, and other relevant regions.
Services (including those provided by third parties) are "as is" and may be modified, suspended, or discontinued without notice.
The Services, including any services, data, or content provided by third parties, are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
The Services do not constitute, and must not be relied upon as, legal, financial, investment, engineering, or real estate advice.
All outputs, insights, analyses, and reports generated through the Services are provided for general informational purposes only.
4. Third-party Services
Some Platform features rely on third-party providers (such as email delivery, analytics, AI features, and real estate data sources). These providers may apply their own terms and policies. We are not responsible for interruptions, inaccuracies, or other issues caused by such third-party services.
In particular, Services may also retrieve publicly available property listing data from third-party real estate portals on your behalf. We are not responsible for the accuracy, completeness, or availability of third-party data, nor do we guarantee uninterrupted access to any third-party source.
The Platform may include links to third-party websites or services. We do not control or endorse such third parties and are not responsible for their content, accuracy, or practices. You acknowledge and agree that your access to and use of any third-party websites is at your own risk.
5. Subscriptions
Certain features of the Services are available on a paid-subscription basis. By subscribing, you authorize us to charge your payment method via Stripe, our payment processor.
- Subscription fees, billing cycles, and included credits are disclosed at the time of purchase on the pricing page.
- Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
- We reserve the right to modify, replace, or remove features included in subscription plans at any time. Changes to material features will be communicated where reasonably possible.
- You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that time.
- We may offer free trials or promotional subscriptions. Unless you cancel before the end of the trial period, your subscription will automatically convert into a paid subscription.
6. Billing and Refunds
- Prices may change with at least 14 days' prior notice. Continued use after a price change constitutes acceptance.
- All fees are exclusive of applicable taxes (including VAT, sales tax, or similar taxes), unless otherwise stated. You are responsible for any applicable taxes associated with your subscription.
- Where required by applicable consumer protection law, you may be entitled to a refund within a statutory cooling-off period. Outside of legal requirements, subscription fees are non-refundable (including pro rata refunds).
- Failed payments may result in suspension or downgrade of your account.
7. Credit System
The Platform uses a credit-based system to meter AI-powered operations. Credits are the unit of consumption for computationally intensive features.
- What consumes credits: AI property analysis (image and text processing), semantic search queries, AI chat interactions, and PDF report generation. The credit cost of each operation is displayed before execution.
- Acquiring credits: Credits are included in subscription plans and may also be purchased as separate credit packs.
- Expiry: Credits included in a subscription plan expire at the end of the billing period in which they were issued and do not roll over, unless explicitly stated otherwise. Purchased credit packs do not expire while your account is active.
- Non-refundable once consumed: Credits consumed by completed operations are non-refundable, regardless of whether you were satisfied with the AI-generated output.
- Non-refundable after purchase: Credit pack purchases are final and non-refundable, except where required by law.
- No monetary value: Credits have no monetary value, are non-transferable between accounts, and cannot be exchanged for cash.
- Insufficient credits: If your credit balance is insufficient to complete an operation, the operation will not proceed. We will prompt you to purchase additional credits or upgrade your plan.
- Right to adjust credit costs: We reserve the right to modify the credit cost of any feature or operation at any time. Updated costs will be displayed prior to execution.
- Restoring credits: In the event of a technical error that prevents completion of an operation, we may, at our discretion, restore the corresponding credits or reprocess the operation.
- Abuse prevention: We reserve the right to monitor usage of the Services and to limit, suspend, or restrict access where we reasonably suspect abuse, excessive usage, or use inconsistent with the intended purpose of the Platform.
- Promotional credits: Any promotional or bonus credits may be subject to additional terms, including expiration dates and usage restrictions, as communicated at the time of issuance.
8. Intellectual Property
The intellectual property used by the Platform as well as existing within the Platform, including all software, AI models, infrastructure, user interface designs, text, graphics, logos, trademarks, and branding (the "Intellectual Property"), excluding third-party data and user uploads, is owned by or licensed to us.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Intellectual Property for your personal or internal business purposes solely while using the Platform. Such license permits use of the Intellectual Property solely in its original, unmodified form. You may not copy, modify, distribute, sell, lease, sublicense, reverse-engineer, or create derivative works of any Intellectual Property.
AI-generated reports and analyses produced by the Services using your inputs are provided to you for your use. However, the underlying AI model outputs, algorithms, and Service infrastructure remain our Intellectual Property.
Do not copy, modify, or use Intellectual Property without permission in any manner other than using the Platform.
All outputs generated by the Platform, including AI-generated analyses, insights, reports, and search results, are provided to you for personal or internal use in accordance with these Terms. Subject to your compliance with these Terms, the Platform grants you a limited, non-exclusive, non-transferable, revocable license to use such outputs.
The Platform does not claim ownership over third-party real estate listings and disclaims responsibility for any intellectual property rights associated with such content.
9. User Content
You retain ownership of content you submit, upload, or otherwise make available through the Services ("User Content"), including property photos, documents, and listing URLs.
You grant the Platform a worldwide, non-exclusive, royalty-free license to use, host, store, process, analyze, transform, reproduce, and generate derivative works of your User Content solely for the purpose of operating and improving the Services. This license does not grant us the right to sell your User Content or share it with third parties outside the scope of providing the Services.
The license includes the right to sublicense User Content to trusted third-party service providers solely for the purpose of operating the Services (e.g., cloud hosting, AI processing infrastructure).
User Content as well as the rest of AI-generated content created using the Platform may be used for model improvement. The above content may be used for model training conducted by the Platform either in raw form or in anonymized form (depending on the Platform's rights to process personal and other restricted data comprising the content).
You represent and warrant that: (a) you have all rights necessary to submit the User Content and to grant the foregoing license; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; (c) User Content is not treated as confidential or proprietary, except where required by applicable law or explicitly stated otherwise; and (d) your User Content complies with all applicable laws.
The Platform reserves the right (but has no obligation) to remove, block, or restrict access to any User Content at its sole discretion, including where it violates these Terms or may expose the Platform to legal or operational risk.
10. Workspaces
The Services include a multi-tenant workspace feature that allows teams to collaborate on property research and analysis.
- The workspace creator (owner) is responsible for managing member access and ensuring that all members comply with these Terms.
- Content created within a workspace — including property analyses, reports, and search results — is accessible to all members of that workspace.
- Credits consumed by workspace members are deducted from the workspace owner's credit balance, unless a different option is offered by the Platform's UI.
- We are not responsible for disputes between workspace members or for content shared within a workspace.
- The workspace owner is fully responsible for all activity conducted within the workspace, including actions performed by invited members.
- The Platform reserves the right to suspend or terminate access to any workspace where we reasonably suspect misuse, fraud, or violation of these Terms.
- Upon termination or deletion of a workspace, the Platform may allow export of workspace data for a limited period, subject to technical and legal constraints.
11. Prohibited Conduct
General prohibitions: Do not violate applicable laws, harm Platform integrity/security, post false/misleading content, upload content that infringes or misappropriates the intellectual property, confidentiality, or other rights of any third party, spam, harass, or disrupt the Platform. We may remove content or suspend/terminate accounts for violations, without notice.
Technical prohibitions: You may not:
- scrape, harvest, or extract data from the Platform;
- reverse engineer, decompile, or attempt to derive the function principle or the source code of the Platform;
- use automated scripts, bots, or crawlers;
- attempt to circumvent credit consumption, payment systems, authentication, or access control;
- attempt to bypass usage limits, credit systems, rate limits, or AI safeguards, including by manipulating prompts, automation, or distributed usage;
- upload malicious code, introduce viruses, or conduct denial of service attacks;
- conduct vulnerability testing, penetration testing, or security assessments without prior written authorization;
- bypass or disable security or access controls;
- use the Platform for unlawful, fraudulent, misleading, or harmful purposes, including market manipulation or misrepresentation of property information.
Prohibition of competition: You may not use the Platform, any content made available through the Platform, or any insights derived therefrom, for purposes of building a competing product or service, or to replicate substantially similar features using AI-generated outputs from our Platform, or to commit any acts of unfair competition or competitive harm. The Platform reserves the right to determine, in its reasonable discretion, whether conduct constitutes competition under this section.
Prohibition of false representation: You may not use, export, or redistribute Platform outputs in a manner that misrepresents them as human-generated or verified professional advice.
12. Disclaimers and Liability
The Platform's outputs, including AI-generated analyses, recommendations, and reports, are generated using automated systems and may be inaccurate, incomplete, or misleading. Such outputs do not constitute professional advice or verified information. Users should conduct independent due diligence. Users assume full responsibility for all decisions made based on their use of the Platform, including any financial, commercial, or legal consequences.
The Platform does not verify or guarantee the legality, ownership, or accuracy of third-party property listings or data sources and shall not be liable for reliance on such information.
The Platform shall not be liable for any breach of applicable laws by a User resulting from the Platform's lack of specific technical features or functionalities.
In addition, the Platform shall not be liable for:
- any misuse of information by Users, any breach of confidentiality by Users, or any interactions, agreements, or disputes that occur between Users;
- the acts or omissions of Users or third parties, including any harm caused to third parties arising from User Content or user conduct.
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES (EXPRESS OR IMPLIED). WE DO NOT GUARANTEE OUTCOMES OR DATA ACCURACY.
WE ARE NOT LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (E.G., DATA LOSS, BUSINESS INTERRUPTIONS, LOST PROFITS), OR ANY OTHER LIABILITY, INCLUDING WITHOUT LIMITATION LIABILITY FOR LOST OPPORTUNITIES, INVESTMENT DECISIONS, OR BUSINESS FAILURE.
LIABILITY IS LIMITED TO USD 100 OR FEES PAID IN THE PRIOR 12 MONTHS, WHICHEVER IS GREATER.
These limitations apply regardless of the form of action and whether based on warranty, contract, tort (including negligence), or any other legal theory, and even if we have been advised of the possibility of such damages.
13. Indemnification
You agree to defend, indemnify, and hold harmless the Platform and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your User Content; (c) your misuse of the Services or any Intellectual Property; or (d) your violation of any applicable law or third-party rights.
14. Termination
We may terminate access for any reason (e.g., breach), with or without notice.
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Termination does not entitle you to a refund of any unused subscription fees or credit pack purchases.
Upon termination or suspension of a User's account, the Platform may, at its sole discretion, delete any User Content and any AI-generated content derived from such User Content, without prior notice. You agree that such deletion may occur immediately and shall not give rise to any liability or obligation on the part of the Platform. Notwithstanding the foregoing, the Platform may retain certain data to the extent required to comply with applicable laws, enforce its rights, resolve disputes, prevent fraud or abuse, or as part of routine backup or archival processes, in accordance with its applicable regulations.
Surviving provisions include content licenses and IP rights, disclaimers, liability limits, and governing law and dispute resolution.
15. Communications
The Platform may send Users electronic communications in connection with their use of the Platform. Transactional and service-related communications necessary for the performance of the agreement (e.g., account notifications, security updates, or technical notices) form an integral part of the Services and cannot be opted out of while maintaining an active account.
Other communications, including marketing messages, are sent on the basis of the User's consent or other applicable legal basis under data protection laws and do not form an integral part of the Services. Users may withdraw their consent or opt out of such communications at any time without affecting the lawfulness of processing carried out prior to withdrawal.

If you provide suggestions, ideas, or feedback regarding the Platform, you agree that we may use such feedback freely and without restriction or compensation to you.
16. No Agency or Brokerage Relationship
Nothing in these Terms creates:
- A brokerage relationship
- An agency relationship
- A fiduciary duty
Users are solely responsible for conducting independent due diligence before entering into any transaction.
17. Governing Law and Disputes
These Terms are governed by Abu Dhabi Global Market law, excluding conflicts of laws principles.
Before initiating any formal dispute, you agree to contact us at hello@spacenplace.ai and give us 30 days to attempt an informal resolution.
Formal disputes shall be resolved exclusively via binding arbitration. The seat (the legal place) of the arbitration shall be the Abu Dhabi Global Market and the Arbitration Regulations of the Abu Dhabi Global Market in force at the date of the reference to arbitration shall apply.
The number of arbitrators shall be one and the language to be used in the arbitral proceedings shall be English.
Nothing in these Terms shall exclude or limit the application of mandatory laws of the jurisdiction in which the User resides or is established, or that otherwise apply to the relationship between the User and the Platform, to the extent such laws cannot be contractually excluded.
To the extent permitted by applicable law, you and SPACE AND PLACE - FZCO agree to resolve disputes on an individual basis and not as part of any class, collective, or representative action.
18. Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The Platform's failure to enforce any right or provision shall not constitute a waiver of such right or provision.
The User may not assign or transfer these Terms without the Platform's prior written consent, while the Platform may freely assign these Terms. These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
